  • Is Maverick a crowdfunding company?

  •  

  • No. Maverick Entrepreneurs LLC is not a crowdfunding company. Investopedia defines crowdfunding as:

  • The use of small amounts of capital from a large number of individuals to finance a new business venture. Crowdfunding makes use of the easy accessibility of vast networks of friends, family and colleagues through social media Websites like Facebook, Twitter and LinkedIn to get the word out about a new business and attract investors. Crowdfunding has the potential to increase entrepreneurship by expanding the pool of investors from whom funds can be raised beyond the traditional circle of owners, relatives and venture capitalists.”

  • Typically, crowdfunding models (usually online) introduce and promote multiple participants to invest in one company — a crowd. Crowdfunding as an industry is still very much in its infancy. However, with the new SEC/FINRA rules that are still being finalized after the JOBS (Jumpstart our Business Startups) Act that became law in the spring of 2012, crowdfunding is becoming an alternative route for start-ups to raise capital. Typically, the average company raises less than $3,000 from its crowdfunding efforts. While this is better than nothing, it must be noted that this method of bootstrapping capital can hinder the ability to close sophisticated investors in the future.

  • Most typical traditional investors (venture capitalist, private equity and even many angel investors) do not want to deal with multiple other investors in “their deal.” Therefore, having many small investors in your company can discourage some investors from even considering funding your company. If you have multiple unaccredited investors, that becomes more of a problem for sophisticated investors who don’t want to negotiate with existing, and perhaps not sophisticated, investors. Ask your attorney to explain these options to you in detail.

  • Alternatively, Maverick trains its entrepreneurs to raise capital the traditional way (one investor for one business/entrepreneur) but with the benefits of our online Web platform of qualified investors. However, there is no reason an entrepreneur cannot use both a crowdfunding Web site and Maverick’s Web platform (although this is not necessarily recommended).

  • How do I get introduced to Maverick’s Investor Network?

    • Once you’ve completed one of Maverick’s two training course options (the Live Boot Camp or Webinar) you become a Maverick Graduate. All Maverick Graduates are given access to our CapitalBridge.  However, access to the investors is only granted upon completion and review of their preparation stag - our certification program.  Our online platform provides services to our Certified Graduates and links them to our investors. Each entrepreneur and investor create their own corporate profile that summarizes who they are and what funding or investment they seek. You will have full access to Maverick Investors Network through this section.

  • Does my company need to be incorporated to become a Maverick Member or take the training classes?

    • No, you don’t need have to be incorporated to take one of our Boot Camp Programs. However, you should have the desire to become an entrepreneur. Maverick Entrepreneurs have the opportunity to learn many things including understanding the entire process of raising capital and teaching you the intricacies of incorporation. While you don’t need to be incorporated to take Maverick’s Webinar, it is preferred if you’re going to take Maverick’s live training because you will be pitching investors on the last day of training and they will require a corporate structure before they invest.

Investors are located worldwide. Investors register for membership to be part of Maverick Investors Network. Membership includes the following services: (1) investor profile; (2) email; (3) deal pipeline (contact manager to manage deal flow); (3) deal search function, and (4) a monthly copy of Maverick’s newsletter. Investors’ registration will involve a short questionnaire about deal types, size and preference for debt or equity deals, etc. The registration will require an affidavit by the investors stating that they are a qualified investor.

  • How will the confidentiality of my company be protected?

    • Maverick is unique in that our Web platform – called our Graduate Virtual Office and Capital Bridge is a closed network that can only be viewed by accredited investors in Maverick’s Investor Group. You will be given complete control over what investors can see and not see about your company. Prior to being able to view any of your investment documents, you may elect to have investors sign nondisclosure, noncompete agreements (NDA’s). As for our 3-Day Live Boot Camps, all other participating entrepreneurs and the investors included in the Investor Pitch Day sign NDA’s to protect the confidentiality of our entrepreneurs’ business.     • An accredited investor is someone whose net worth is more than $1 million excluding their primary residence, and whose annual income is above $200,000 for the last two years for a single person or above $300,000 for a married couple.

    • General solicitation is advertising to the public to sell shares in a company. Before crowdfunding, federal securities laws prohibited general solicitation of investors and advertising to them.

    • The 2012 Jumpstart our Business Startups Act (JOBS Act) will, for the first time, allow emerging growth companies to raise capital from non-accredited investors (i.e., the general public and specifically, people whose net worth is less than $1 million excluding their primary residence, and whose annual income is below $200,000 for the last two years or $300,000 if married.) This will open up enormous opportunities for entrepreneurs looking for capital.

Automatic Collection of PII

In some instances, MAVERICK automatically collects certain types of information when you visit our Websites and through e-mails that we may exchange. Web Beacons

MAVERICK or its service providers may use Web beacons to track the effectiveness of third-party Websites that provide us with recruiting or marketing services or to gather aggregate visitor statistics and manage cookies.

 

You have the option to render some Web beacons unusable by rejecting their associated cookies. The Web beacon may still record an anonymous visit from your IP address, but cookie information will not be recorded.

 

In some of our newsletters and other communications, we may confirm a recipient's e-mail address through embedded links within the messages. We collect this information to gauge user interest and to enhance future user experiences.

 

Do Not Track

Our Websites may not recognize browser- based Do Not Track signals. However, as discussed above under Cookies, your browser may be set to block all cookies, or to block third-party cookies. Sharing and Transfer of PII

We do not share personal information with unaffiliated third parties, except as necessary for our legitimate professional and business needs, to carry out your requests, and/or as required or permitted by law or professional standards. We do not allow unaffiliated third parties to collect personal information on our sites. In some instances, MAVERICK may also share PII about you with various outside companies or service providers or vendors working on our behalf to help fulfill your requests.


In addition, MAVERICK may transfer certain PII across geographical borders to other MAVERICK member firms or outside companies working with us or on our behalf. MAVERICK may also store PII in a jurisdiction other than where you are based. By providing PII on MAVERICK's Websites, visitors are consenting to this transfer and/or storage of their data across borders.

 

MAVERICK may also disclose PII in connection with the sale, assignment, or other transfer of the business of the site to which the data relates, in order to respond to requests of government or law enforcement agencies or where this is required by applicable laws, court orders, or government regulations. MAVERICK understands the importance of protecting children's privacy, especially in an online environment. In particular, our sites are not intentionally designed for or directed at children under the age of 13. It is our policy never to knowingly collect or maintain information about anyone under the age of 13, except as part of an engagement to provide professional services.

In general, you are not required to submit any PII when you visit our Websites, but MAVERICK may require you to provide certain PII in order for you to receive additional information about our services and events.
